This End User License Agreement ("Agreement") is a binding contract between AsBuilt Engine LLC, a Washington limited liability company ("AsBuilt Engine," "we," "us"), and the individual or entity installing or using the AsBuilt Engine Extract software ("Customer," "you"). By installing, activating, or using the Software, you agree to this Agreement. If you are accepting on behalf of a company, you represent that you have authority to bind that company.
"Software" means the AsBuilt Engine Extract desktop application (and any browser-extension edition we may offer), associated documentation, and any updates we provide. "License Key" means the signed activation credential we issue upon purchase. "Seat" means one named individual authorized to use the Software. "Output" means data, text, drawings, or files produced by or derived from the Software, including AI-extracted survey data, CAD text, DXF files, LandXML files, CSV files, and PDF reports.
Subject to payment of applicable fees and compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software for your internal business purposes, up to the number of Seats stated in your License Key, for the term stated in your License Key.
You may not: (a) share, resell, or distribute the Software or any License Key outside your organization; (b) exceed your licensed Seat count; (c) reverse engineer, decompile, or circumvent the license validation mechanism; (d) use the Software to build a competing product; (e) remove proprietary notices. A trial period may be provided without a License Key; trial use is subject to this Agreement.
The Software transmits images of your field notes for automated interpretation by Anthropic PBC's Claude API. By default this occurs through our extraction relay using our Anthropic account: your license includes a monthly extraction allowance per Seat, our relay processes your content in transit only and does not store it, and we record only anonymous usage totals for metering. If you enable the optional own-key mode, transmission occurs under your own Anthropic account and you are responsible for Anthropic's fees. In either mode, you are responsible for confirming that transmitting your project data to a third-party AI service is permitted under your client contracts and applicable confidentiality obligations. We may adjust included allowances with notice; allowances reset monthly and do not roll over.
The Software uses artificial intelligence to interpret handwritten field notes. AI interpretation is inherently imperfect and can produce errors, including misread digits, misidentified structures, incorrect elevations, and incorrect pipe connections. The Software is a productivity aid, not a substitute for professional judgment.
(a) All Output must be independently reviewed and verified by a qualified professional — where applicable, a licensed land surveyor or professional engineer — before it is relied upon, submitted to a client or agency, incorporated into a deliverable, or used for design or construction.
(b) You acknowledge that survey deliverables are professional work products for which the responsible licensed professional retains full responsibility under applicable licensing laws. Use of the Software does not transfer any portion of that professional responsibility to AsBuilt Engine.
(c) Confidence indicators, QC flags, and auto-corrections generated by the Software are heuristic aids only and do not guarantee that flagged data is wrong or that unflagged data is correct.
All job data, extracted results, and settings are stored locally on your device by the Software. We do not host, back up, or have access to your data. You are solely responsible for backing up your work (e.g., via the Software's export functions). Uninstalling the Software or deleting its local application data may permanently delete locally stored jobs.
We retain all right, title, and interest in the Software. You retain all rights in your field notes and in Output generated from your data. Feedback you provide may be used by us without restriction or obligation.
This Agreement runs for the license term stated in your License Key and any renewal. We may terminate for material breach not cured within 15 days of notice. Upon expiration or termination, your right to perform new extractions ends; the Software's viewing and export functions for existing local data remain available as a courtesy but are provided "as is." Sections 4–12 survive termination.
THE SOFTWARE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PROFESSIONAL, REGULATORY, DESIGN, OR CONSTRUCTION PURPOSE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR COST OF SUBSTITUTE SERVICES; AND (b) OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE SHALL NOT EXCEED THE FEES YOU PAID TO US FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. WITHOUT LIMITING THE FOREGOING, WE HAVE NO LIABILITY FOR ANY CLAIM ARISING FROM RELIANCE ON OUTPUT THAT WAS NOT INDEPENDENTLY VERIFIED AS REQUIRED BY SECTION 5.
You will defend and indemnify AsBuilt Engine against third-party claims arising from (a) your use of Output in professional deliverables, (b) your breach of Section 4 or 5, or (c) your violation of law or third-party rights in connection with your use of the Software.
This Agreement is governed by the laws of the State of Washington, without regard to conflict-of-laws rules, and the parties consent to exclusive jurisdiction and venue in the state and federal courts located in King County, Washington. This Agreement is the entire agreement regarding the Software and supersedes prior discussions. We may update this Agreement for future versions or renewal terms with notice. If any provision is unenforceable, the remainder stays in effect. Neither party may assign this Agreement without consent, except we may assign to an affiliate or in connection with a merger or sale of assets.
